Corinne Antley has represented tax-exempt organizations for more than 25 years, working with private foundations, higher education institutions and associations, news organizations, public charities and trade associations of all types. She is skilled in entity formation tax exemption application matters, transactions involving nonprofit organizations, day-to-day corporate and tax compliance matters, and executive compensation. She also advises business executives, professional athletes, and other high net worth individuals and families regarding the formation, funding and operation of charitable foundations and trusts, as well as other philanthropic and wealth transfer issues.
Representative Matters
- Counseled private foundation clients of all sizes (from small “start-up” foundations to foundations whose aggregate assets exceed one billion dollars) with domestic and international grantmaking, board succession issues, division of assets with new family foundations, and compliance with federal tax laws governing charitable distributions, investments and compensation.
- Advised nonprofit organizations regarding executive compensation issues and compliance with Section 4958 of the Internal Revenue Code.
- Counseled Section 501(c)(3) clients regarding international philanthropic matters.
- Assisted a new international grantmaking foundation with an environmental focus in obtaining Section 501(c)(3) tax-exempt status.
- Assisted a new Washington, DC policy research organization in obtaining Section 501(c)(3) tax-exempt status.
- Counseled college and university administrators regarding presidential employment contracts.
- Assisted individual clients and private foundations in working with community foundations on disaster relief and other eleemosynary endeavors.
- Structured a tiered relationship for a new Section 509(a)(3) supporting organization with multiple supported organizations and a for-profit subsidiary.
- Advised private universities and other nonprofits regarding the sale and acquisition of assets.
