We assist in all aspects of the formation, operation, and restructuring of these organizations, including structuring the legal entity and obtaining federal and state tax-exempt status for such organizations; counseling such organizations with respect to transfers in mergers, liquidations, and other transactions; planning and preparing transactional documents for partnerships, LLCs, and other joint venture structures; and, when advisable, obtaining private letter rulings. We also counsel organizations on a variety of day-to-day nonprofit tax, governance, and operational issues, including unrelated business income tax, excess business holdings limitations, self dealing restrictions, intermediate sanctions, directors’ liability, grant and scholarship program requirements, federal and state reporting requirements, charitable substantiation, restrictions on lobbying and political activities, deductibility of charitable contributions, and tax controversy issues.
